How remote UK Ltd formation works in practice

A UK Private Limited Company (Ltd) is a separate legal entity registered at Companies House. Non-resident founders can form one remotely through an authorised ACSP. Eteform handles the filing and checks in 24–48 working hours. Six service packages start from £226; the £100 Companies House fee is shown separately.

After incorporation you receive a CRN and digital documents. Many founders then open Wise Business or Revolut Business, set a London registered office if needed, and prepare for Stripe, Shopify or Amazon using matching company details. Annual duties typically include the Confirmation Statement (CS01), accounts, and Corporation Tax registration with HMRC when trading starts. Dormant companies still have lighter filing duties — they are not a full exemption from Companies House.

UK Ltd formation does not grant UK residency or a visa. Eteform guarantees legal, complete execution of every request, and bank or payment-gateway approval when all requirements are fully met — with a correctly filed, transparent entity and Arabic support from order to certificate. Compare packages, read the formation guide, or start your order with clear GBP pricing.

When is PAYE activated?

When you have one or more employees in the UK receiving salaries from which income tax and National Insurance are deducted under the rules. Payments to contractors via another company’s invoices are usually a different path. A UK-resident director’s salary may enter the system; a non-resident director with no UK salary is often outside immediate need.

How we set up PAYE step by step

  • Confirm you actually need Employer registration
  • Register the company as an Employer with HMRC
  • Issue or activate the PAYE reference
  • Explain basic reporting deadlines (such as RTI at a conceptual level)
  • Point you to tools or an accountant who runs monthly payroll

What is completed in the initial setup?

  • Register the company as an Employer with HMRC
  • Issue or activate the PAYE reference
  • Explain basic reporting deadlines (such as RTI at a conceptual level)

After setup — monthly operation

Every payroll cycle needs correct calculation, on-time reports and payment of amounts due. Mistakes here show up quickly with HMRC. Our service establishes the reference; ongoing operation is the responsibility of the payroll system/accountant you choose.

Overlap with Corporation Tax and VAT

PAYE concerns individuals’ salaries. Corporation Tax is on the entity’s profits, and VAT on supplies. Three different paths; none replaces another. Order them according to whether you employ, sell or make profits.

FAQ about this service

I pay a freelancer outside the UK — do I need PAYE?

Usually not as classic PAYE salary, but other obligations may exist depending on the contract and residence. Describe your case before registering so you do not create a reference without need.

Does the service include monthly payroll calculation?

No. Setup and guidance only. Monthly calculation is priced with a payroll provider or accountant.

How long does activating the reference take?

Often faster than VAT registration, but it depends on complete company data and HMRC matching.

Does the Fully Inclusive package (£200) include PAYE?

The Fully Inclusive package includes VAT and PAYE registration within the initial formation scope as described on /packages and /en/packages — monthly payroll operation is separate.

Non-resident director on a nominal salary — should I register?

It depends on residence, salary amount and the rules in force. Do not register “just in case” without need; consult a UK accountant before the first salary.
