How remote UK Ltd formation works in practice

A UK Private Limited Company (Ltd) is a separate legal entity registered at Companies House. Non-resident founders can form one remotely through an authorised ACSP. Dormant companies still have lighter filing duties — they are not a full exemption from Companies House.

Accounting dormancy defined more precisely

A company dormant for this purpose has not entered into significant accounting transactions during the period. Merely having a registered entity, or paying limited fees allowed in some interpretations, does not automatically mean any bank movement is acceptable. Transfers, invoices, salaries or sales usually take you out of the simplified path.

Relationship with HMRC

Convincing Companies House of dormancy does not automatically close every HMRC obligation. If you have Corporation Tax registration, keep both paths consistent with your actual activity.

I opened Wise but have not used it — am I still dormant?

Opening the account alone may be discussed depending on movements. If fees or transfers went through, tell us the details before filing.

How many years can a company stay Dormant?

There is no “magic expiry” as long as you keep filing and follow the rules. But a company with no purpose may be reviewed for other reasons; legal consistency matters most.

Does Dormant replace CS01?

No. CS01 is required annually separately even if the accounts are dormant.

I started selling mid-year — what should I do?

Tell us immediately. You may need full accounts for the period or part of it instead of Dormant. Do not file dormancy while issuing invoices.
